Healiot License Manager

Terms of Service

These Terms of Service (“Terms”) govern use of Healiot License Manager (the “Portal”), provided by Healiot (“Healiot”, “we”, “us”, or “our”). By accessing or using the Portal, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.

1. Enterprise agreement takes priority

If your organisation has a signed order, subscription agreement, master services agreement, or data-processing agreement with Healiot, that agreement controls to the extent it conflicts with these Terms. These Terms apply to Portal use not addressed by the written agreement.

2. Authorised users and accounts

The Portal is available only to users pre-approved by a customer administrator and assigned to an active customer tenant. You must use your own approved work email address, keep sign-in links and credentials confidential, and promptly tell us or your administrator about suspected unauthorised access. You may not share an account or use another person’s authentication link.

3. Permitted use

You may use the Portal only to view and manage the license and machine information made available to your tenant, in accordance with your organisation’s authority and the applicable software license. You must comply with applicable law and may not interfere with the service, gain unauthorised access, bypass tenant controls, reverse engineer the service, introduce malicious code, scrape data at scale, or misuse another customer’s information.

4. License data and third-party services

License and machine information is supplied through Keygen and may be subject to separate product, license, and third-party terms. The Portal does not change the scope, duration, validity, or enforceability of an underlying software license. You are responsible for ensuring that your use of any license key, machine activation, or software complies with the applicable license terms.

5. Customer responsibilities

Each customer is responsible for designating authorised administrators, keeping tenant members current, obtaining required notices or permissions for data it provides, and promptly disabling access when a user no longer requires it. A customer administrator may add, disable, or remove members and manage the customer’s license bindings as permitted by the Portal.

6. Availability, support, and changes

We may maintain, update, suspend, or modify the Portal to protect security, improve functionality, or comply with law. We will use reasonable efforts to maintain the service but do not guarantee uninterrupted or error-free operation unless a written agreement expressly provides a service level. Support channels and response commitments, if any, are set out in the applicable commercial agreement.

7. Intellectual property and confidentiality

Healiot and its licensors retain all rights, title, and interest in the Portal, including its software, design, documentation, and branding. Subject to these Terms, we grant authorised users a limited, non-exclusive, non-transferable, revocable right to use the Portal for the customer’s internal business purposes. Each party must protect the other party’s confidential information using at least reasonable care and use it only to perform under the applicable agreement.

8. Privacy

Our handling of personal data is described in the Privacy Policy. Customer data remains subject to the customer’s rights and the applicable data agreement.

9. Disclaimers

To the maximum extent permitted by law, the Portal is provided “as is” and “as available”. Healiot disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. We do not warrant that information supplied by a third party, including Keygen, is complete, current, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from use of the Portal. Healiot’s aggregate liability relating to the Portal will not exceed the fees paid or payable for the Portal during the 12 months before the event giving rise to the claim, unless a written agreement states a different limit. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

11. Suspension, termination, and disputes

We may suspend or terminate access if we reasonably believe there is a security risk, misuse, breach of these Terms, non-payment under an applicable agreement, or legal requirement. A customer may remove a user’s tenant membership at any time. Governing law, venue, notices, and dispute-resolution procedures are those in the applicable written agreement. If no written agreement applies, mandatory law may govern the relevant relationship.

12. Changes and contact

We may update these Terms by publishing an updated version with a new “Last updated” date. Continued use after an update takes effect constitutes acceptance to the extent permitted by law. Questions about these Terms may be sent to info@healiot.com.
